This Terms of Use is a legal agreement between TEXchange E-Biz Private Limited and You stating the terms that govern Your use of the Portal (defined below).

This document is an electronic record in terms of information technology act, 2000, and the rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the information technology act, 2000. this electronic record is generated by a computer system and does not require any physical or digital signatures.

If you do not agree to be bound or cannot comply with any of the Terms of Use or the Privacy Policy, please do not continue with availing the services on our Portal. Your act of clicking on/checking the “I agree” tab/box below shall be deemed as agreement to these Terms of Use and the Privacy Policy.

Accessing, browsing, or otherwise using the portal indicates your agreement to all the terms and conditions under these terms of use, so please read the terms of use carefully before proceeding.

You and TEXchange shall hereinafter collectively be referred to as “Parties” and individually as “Party”, as the case may be.

Supplier Commission Agreement :

Damodar Menon International Private Limited (“DMI”) will be providing some of its services on its’ online portal at https://texchangeglobal.com/(“Portal”). You and DMI shall hereinafter collectively be referred to as “Parties” and individually as “Party”, as the case may be.

Pursuant to our discussions we are pleased at your willingness to avail the services provided on the Portal by DMI, in your capacity as a Seller. The capitalised terms used herein are defined in the Terms of Use (defined below).

The services will be rendered to your organization (‘you’) by DMI on the Portal in accordance with the provisions of the terms and conditions available at https://texchangeglobal.com/terms-conditions.aspx (“Terms of Use”) and this Letter. We understand that you have read and understood the Terms of Use. Please be advised that you are required to accept both the Terms of Use and this Letter, in entirety to avail the services on the Portal and that the contents of this Letter are an integral part of the Terms of Use.

In consideration of the services being availed by you on the Portal, you agree and undertake to irrevocably pay DMI, a commission of 1% of the Gross Sale on Ex Mill basis without freight charges received by you pursuant to each Transaction successfully concluded on the Portal (“Commission”). The Commission shall be paid by you within 7 working days of the receipt of payment from the Buyer by you.

All Commission due to DMI plus applicable GST (as per Govt. Rules) and any mandatory tax deductible at source (“TDS”) shall be paid by you, within the agreed period of time. You agree and acknowledge that the Commission specified above can be subject to an upwards revision, basis the Gross Sale and such other criteria with DMI as may be mutually agreed. You agree that DMI’s decision on the Commission charged for each Transaction shall be final and binding on you.
